LEAD: Roger Rosenblatt, the editor of U.S. News and World Report for the last 14 months who has continued an active writing career, resigned yesterday. In his letter of resignation to the chairman and editor in chief, Mortimer B. Zuckerman, who had wanted him to take a more active management role, he cited commuting difficulties.

Southnet Venture

LEAD: The Southnet Corporation and Fone America Inc., two long-distance telephone companies, agreed to form a joint venture. Southnet, based in Tampa, and Fone America, a Nevada company, plan to consolidate and share switching centers, data-processing services, network facilities and billing services. Mister Donut, the second-largest doughnut chain in North America after Dunkin' Donuts Inc., has 573 shops. Its estimated sales for this year are $156 million.

LEAD: The USX Corporation's stock price slipped after the steel company adopted a shareholder rights plan that would make a hostile takeover more difficult. USX's shares were down 37.5 cents, to $37.75, on the New York Stock Exchange. Last week, the financier Carl C. Icahn said he had a 13.06 percent stake in USX.
