Mc Intyre, had agreed to buy the Fremont Insurance Group for $82 million in cash, notes and preferred stock.

LEAD: ARCO said it was starting a tender offer for all American depositary receipts of Tricentrol P.L.C. at $7.10 each. The company said the offer was not conditioned on the receipt of any minimum number of A.D.R.'s, each of which represents two Tricentrol ordinary shares.
