Man in the News; A Rescuer Steeped in Washington's Ways: Lloyd Norton Cutler

Lloyd N. Cutler, who was named today by President Clinton to be the new special counsel to the President, has been asked to come to the rescue in much the same manner before. Mr. Cutler, regarded as among the most seasoned of Washington's lawyers who operate at the intersection of politics and policy, was recruited as President Jimmy Carter's White House counsel in 1979 to replace a longtime associate of the President's family. That lawyer, Robert J. Lipshutz, was judged to be insufficiently steeped in the ways of Washington to help the President cope with a flood of politically tinged legal issues.

Plutonium-Test Series Wins Polk Award

The awards were announced yesterday by Long Island University, which administers the awards for excellence in journalism.

Antitrust Inquiry on Cable Gear

The Justice Department's antitrust division is investigating whether the General Instrument Corporation, a leading supplier of equipment to the cable television industry, may have a stranglehold on the delivery of advanced video services. People familiar with the inquiry say the Justice Department has demanded a wide range of information from General Instrument, both about the company's past relationships in the cable industry and about new technologies that can be used to deliver interactive television and hundreds of channels of programming. In a Crucial Position The inquiry could have a broad impact because General Instrument has evolved into a technology gatekeeper in the cable television industry and is also an important contender in the emerging market for new services to be delivered over future two-way cable systems.

The General Electric Company's chairman and chief executive, John F. Welch Jr., earned $4.01 million in salary, bonus, and other compensation last year. In 1993, Mr. Welch received a base salary of $1.5 million and a performance bonus of $2.2 million, according to the company's proxy statement, which was filed today with the Securities and Exchange Commission.

Disney in Land Deal

The Walt Disney Company said today that it would purchase 70 acres in a planned beach community on the California coast. Disney Vacation Development has already bought 35 acres in the Irvine Company's Newport Coast community overlooking the Pacific Ocean between Newport Beach and Laguna Beach. Its agreement calls for purchasing 35 more acres. Terms were not disclosed. Disney plans to build 650 vacation villas that conform to the development's Mediterranean village theme.

Lilly Agrees To Purchase Of Sphinx

Eli Lilly & Company said today that it had agreed to buy the Sphinx Pharmaceuticals Corporation for $6 a share, or about $72 million, as part of efforts to accelerate development of new drugs. Lilly's purchase of Sphinx, whose focus is rapid production and screening of thousands of potential drugs, could bolster Lilly's drug pipeline, the lifeblood of pharmaceutical companies.

CAREMARK COMPLETES PURCHASE OF CRITICAL CARE

Caremark International Inc. said yesterday that it had completed the purchase of Critical Care America, the home-infusion unit of Medical Care America Inc., for $175 million. Caremark, based in Northbrook, Ill., agreed to buy Critical Care, a provider of food and medicine to sick people at home, in January. Medical Care America and Critical Care America are both based in Dallas.

WESTINGHOUSE ELECTRIC TO SELL SEVERAL UNITS

The Westinghouse Electric Corporation, based in Pittsburgh, said yesterday that it expected to raise about $175 million from the sale of two companies in its struggling environmental services segment and unidentified companies in its industrial products group. The two environment services companies, Resource Energy Systems and Controlmatic, employ a total of about 1,500 people. In its annual report, filed on Monday, Westinghouse said it had received expressions of interest in the units. The sale of Resource Energy Systems, Controlmatic and other businesses would be the latest in a series of divestitures designed to pare the company's debt.

KMART'S CREDIT RATINGS ARE LOWERED BY MOODY'S

Moody's Investors Service Inc. said yesterday that it had lowered its ratings on the Kmart Corporation's commercial paper and debt because more competition will make it hard for Kmart, the nation's No. 2 retailer, to improve its performance quickly. The move affects $6.7 billion of debt. A lower credit rating usually increases a company's borrowing costs when it borrows money in the bond market because investors demand higher yields to compensate for added risk. Moody's lowered the rating on Kmart's unsecured debt and medium term notes to "A3" from "A2," and preferred stock to "Baa1" from "A3." The rating on commercial paper was lowered to "Prime-2" from "Prime-1." Standard & Poor's, the other big credit rating company, said in January that it might lower ratings on Kmart bonds from "A." Kmart is based in Troy, Mich.

SHAWMUT NATIONAL TO PURCHASE WEST NEWTON SAVINGS

The Shawmut National Corporation signed a definitive agreement yesterday to acquire the five-branch West Newton Savings Bank for $45.5 million in cash. The acquisition of the $257 million-asset savings bank will add branches to Shawmut's network in some western suburbs of Boston. Under the transaction, each share of West Newton Savings, based in West Newton, Mass., will be exchanged for $25 in cash. The purchase price may be increased if the transaction is not completed by Sept. 30. West Newton's shares rose $4.125, to $22.875, in Nasdaq trading. Shawmut's shares were unchanged at $20.125 on the New York Stock Exchange. Shawmut National, which is based in Hartford, is the nation's 28th-largest banking company, with $27.3 billion in assets. Separately, the Federal Reserve Board has put on hold Shawmut's request that the Fed reconsider Shawmut's proposed merger with New Dartmouth Bank of Manchester, N.H. The Fed blocked the acquisition in November, citing concerns about racial discrimination at a mortgage lending unit of Shawmut.
