Tenneco Inc., one of the last big industrial conglomerates, said today that it would spin off its Newport News Shipbuilding unit and that it was also considering a sale or spinoff of its energy division. The moves, part of a transformation that began in 1992, will allow Tenneco to focus on its growing plastics and automotive parts divisions, which each earned the company strong profits last year.

COMPANY NEWS;Messier May Face Suspension

Mark Messier, the Ranger captain and leading goal scorer with 43, could be suspended for an incident during Tuesday night's game in which he hit Edmonton's Dave Roberts in the face with his stick. Messier was given a two-minute roughing penalty during the third period of the Rangers' 4-1 loss. Roberts suffered a fractured left nasal cavity and a possible fractured left cheek bone.

COMPANY NEWS;AST'S EARNINGS TO BE LOWER THAN EXPECTED

AST Research Inc., the maker of personal computers, said yesterday that its results would be lower than expected in the first quarter. AST said it had encountered less demand for its PC's as inventories have increased. The weak results for the first quarter are expected to follow a loss of $128.6 million and a drop in sales -- which is unusual in the PC industry -- in the fourth quarter of 1995. AST did not provide a specific estimate of its results for the first quarter.

The board of the TransAmerica Corporation has approved the repurchase of as many as two million shares, or 3 percent of its common shares outstanding. Earlier this month, the insurance and financial services company, based in San Francisco, completed another buyback of two million shares. The repurchased shares might be used for option plans, or they might be retired. The company had about 67.7 million common shares outstanding on March 15. TransAmerica shares dropped $1.50 to close at $76.375, before the announcement.

COMPANY NEWS;UUNET TECHNOLOGIES WITHDRAWS STOCK OFFERING

Uunet Technologies Inc. said yesterday that it was withdrawing its registration to offer 6.62 million shares of its common stock to the public. The company said it had terminated the offering because of the recent drop in its stock price. Uunet fell 50 cents, to $24.50, near the stock's 52-week low of $21.75. The provider of Internet-access services filed for the offering in February to raise money to acquire undersea and European land-based fiber optic cable capacity. The company said it would continue its plan to acquire fiber optic capacity.

COMPANY NEWS;HEALTH MANAGEMENT PLANS TO REVISE EARNINGS

Health Management Inc. said it would revise its financial results for the first and second quarters of the 1996 fiscal year, and the fourth quarter of the 1995 fiscal year, after an internal review. In a statement, Health Management, of Ronkonkoma, L.I., said the revision was not yet complete, but it believes it will report a profit, before any one-time write-offs, for the first nine months of the current fiscal year. The company also said it believes each of the first three quarters of the 1996 fiscal year will be profitable before one-time write-offs. The provider of health management services warned last month that it might revise results after discovering accounting irregularities. The company's stock rose $1.875, or 65 percent, to $4.75, in Nasdaq trading.
