Fox and TCI In Discussions About Offering News Channel

Fox Inc. and Tele-Communications Inc., the largest cable operator in the country, are discussing a partnership that would lead to distribution of Fox's new 24-hour news channel into as many as 10 million homes served by TCI. Executives familiar with the negotiations confirmed yesterday that talks were taking place but said that a deal had not been reached and might become part of wider talks between the two companies. Word of the discussions was first reported yesterday in Variety, the entertainment-industry publication.

Tonight, "CBS Evening News" will show segments of newly uncovered television film recorded on Nov. 22, 1963, the day of the assassination of President John F. Kennedy. The 16-millimeter film had been rescued from a trash can by a Dallas television station employee, who died last year; it then remained in the house of a friend whose family found it and last week gave it to the Assassination Records Review Board. The family also told Mary Mapes, a Dallas-based producer for "CBS Evening News," and her husband, Mark Wrolstad, a reporter for The Dallas Morning News. The newspaper reported the story yesterday; CBS scheduled its two-part report for last night and tonight. The film has "no headline revelations," as the CBS anchor, Dan Rather, put it last night, although historians may find new information in details like crowd scenes. It shows President Kennedy, and his wife, Jacqueline, before the motorcade; Jack Ruby waiting for Lee Harvey Oswald to appear before reporters on the night of the assassination, and Vice President Lyndon B. Vatican View of Marriage

The Vatican issued a document today that urged priests to prepare couples better for a life together, contending that permissive laws and the news media had created a climate that favors the breakdown of marriages. A Vatican document on marriage said modern society was marked by "an increasing deterioration of the sense of the family and a corrosion of the values of marriage."

A unit of Grupo Televisa S.A. said today that it had won a Government concession to provide direct-to-home television. The concession, offered by the Ministry of Communications and Transportation, allows Televisa and its partners, the News Corporation of Australia, Globo of Brazil and Tele-Communications Inc. of Englewood, Colo., to move ahead with plans to provide such service across Latin America. Direct-to-home television is transmitted to subscribers via a signal, which is received and decoded at users' homes for a fee.

COMPANY NEWS;GENZYME TO BUY MAKER OF SURGICAL PRODUCTS

The Genzyme Corporation, a major biotechnology company, said yesterday that it had a definitive agreement to acquire Deknatel Snowden Pencer Inc., a surgical products company, for about $250 million in cash. The privately held Deknatel, which is based in Fall River, Mass., makes cardiovascular devices, surgical instruments and specialty surgical products. It had sales of $95.3 million in the year that ended on Sept. 30, 1995. Deknatel has 585 employees and manufacturing plants in Fall River; Tucker, Ga., and Coventry, Conn. Genzyme said it would retain Deknatel's plants and continue to pursue its growth strategy. Shares of Genzyme, based in Cambridge, Mass., fell $2.75, to $58.50.

COMPANY NEWS;SECURE COMPUTING TO BUY BORDER NETWORK TECHNOLOGIES

The Secure Computing Corporation agreed yesterday to acquire the closely held Border Network Technologies in a stock transaction valued at about $190 million. The merger would create the second-largest computer-network security company. Under the agreement, a half share of Secure common stock would be exchanged for each of the roughly 13.1 million outstanding shares of Border. Secure Computing had total revenues of $20.7 million for the year that ended on Dec. 31, while Border's revenues were $3.3 million. Secure's stock rose $1.25 yesterday, to $30.25, before the deal was announced.

COMPANY NEWS;APPLE COMPUTER ESTIMATES OPERATING LOSSES FOR YEAR

Apple Computer Inc. expects to post operating losses for the rest of the year, the company said in a recent filing with the Securities and Exchange Commission. Apple declined to elaborate on the size of the losses. The company's chairman, Gilbert F. Amelio, had previously said that Apple hoped to return to profitabilty within 12 months of its second quarter, which ended on March 29, 1996, for which it reported a $740 million loss. In the filing, dated May 13, the company also said it expected that sales would remain below levels of a year ago through the first quarter of 1997. Apple also warned that its board did not expect to resume dividend payments "for the foreseeable future."
