Tele-Communications Inc., the nation's largest cable operator, completed a deal yesterday to carry Fox's planned 24-hour news cable channel in 10 million homes when the channel starts up this fall. The deal, in which TCI was granted an option to acquire a 20 percent stake in the channel, gives Rupert Murdoch's incipient Fox news service a base from which to challenge both the entrenched Cable News Network, a unit of the Turner Broadcasting System, and the other impending challenger in the cable news arena, MSNBC, which is owned by NBC and the Microsoft Corporation.

CNN and '60 Minutes' To Share Amanpour

In a highly unusual arrangement, two major international news organizations, CBS News and the Cable News Network, will share the reporting talents of Christiane Amanpour, they announced yesterday. Ms. Amanpour, CNN's top international correspondent, will become a part-time correspondent for "60 Minutes," delivering about five reports a year to the CBS Sunday-night news magazine program, while continuing her role at CNN. With her CNN contract due to expire next Sunday, she had been hotly pursued by ABC, CBS and NBC.

Daw Aung San Suu Kyi, the leader of the Burmese democracy movement, has taken up the journalist's pen to write a syndicated column about her life under her country's military rule. But anyone looking for fiery political messages in Mrs. Aung San Suu Kyi's column, "Letter From Burma," which is being distributed by Universal Press Syndicate, will find instead mostly tranquil and reflective musings about her Rangoon childhood and the problems of keeping up an old house. Only at the close of some columns does she take a gentle jab at the junta that rules her country.

COMPANY NEWS;ISOLYSER AND MICROTEK MEDICAL RENEGOTIATE DEAL

The Isolyser Company said yesterday that it had renegotiated its $106.5 million acquisition of Microtek Medical Inc. to guarantee that Microtek shareholders receive Isolyser stock worth $16.50 a share. The deal includes the assumption of $19 million in debt. The companies said the ratio of Isolyser shares to be given to Microtek shareholders was changed because the value of Isolyser stock had fallen about 37 percent since the agreement was announced on March 18. The earlier deal between the medical supply companies said that Microtek could halt the sale if Isolyser's average trading price fell below $13. Isolyser stock rose 68.75 cents to close at $11.6875, and Microtek rose $2.25, to $15.

COMPANY NEWS;DIANA CONSIDERS ITS OPTIONS FOR A REORGANIZATION

The Diana Corporation has hired an undisclosed investment banker to help it consider a reorganization that could include the spinoff of operating units, the company said yesterday. Diana said its board would consider alternatives that involve separating units by industry, into independent public companies. Diana makes central office telecommunications equipment and distributes meat products. The company's stock fell $1.75, to $56.25. The stock was worth less than $6 a share a year ago and more than $120 a month ago. The New York Stock Exchange is reportedly investigating unusual trading in its shares.

COMPANY NEWS;INTEGRATED HEALTH TO SELL PHARMACY UNIT

Integrated Health Services agreed yesterday to sell its pharmacy division, Symphony Pharmacy Services, to Capstone Pharmacy Services for $150 million -- $125 million in cash and $25 million in Capstone common shares. Symphony Pharmacy provides institutional pharmacy and consulting services to 40,000 residents in more than 380 long-term care facilities in eight states. Capstone's stock jumped $2, to $13.25; Integrated rose 75 cents, to $24.25.

COMPANY NEWS;INTERNATIONAL FLAVORS TO CUT JOBS AND TAKE A CHARGE

International Flavors and Fragrances Inc. said yesterday that it would close three plants and dismiss 220 employees, resulting in a pretax charge of $50 million in the second quarter. The New York-based company also said earnings would be hurt by slower customer reorders for fragrances in Europe and the United States and price cuts forced by competition. The company said it would close factories in Union Beach, N.J.; Mexico City, and Rio de Janeiro. Most of the job cuts will occur at the New Jersey facility, which will cut 170 jobs. Shares of International Flavors fell $1.75, to $49, on the New York Stock Exchange.
