TENTATIVE SETTLEMENT AGAINST SPECTRUM COLLAPSES

A tentative settlement of a lawsuit brought by shareholders against Spectrum Information Technologies Inc. has collapsed in the wake of disclosures about the wireless data company, lawyers for shareholders said yesterday. The lawsuit, consolidating 18 suits filed last year, charges that Spectrum and its top executives issued false and misleading statements to inflate the price of the stock. The suit was filed in Federal District Court in New York. Spectrum agreed to settle the shareholder suit on Nov. 8. The memorandum of understanding covering the settlement agreement included a $1.5 million cash payment as well as the issuance of 750,000 warrants to buy Spectrum stock at or above market price.

BELLSOUTH ENDS TIE TO MEXICO CELLULAR PROVIDER

The BellSouth Corporation has sold its interest of about 30 percent in a Guadalajara cellular company to Grupo Iusacell S.A., Mexico's second-largest cellular provider. The Atlanta-based regional telephone company said yesterday that it expected to report an after-tax gain of $67 million, or 13.5 cents a share, on the sale. The sale leaves the Bell Atlantic Corporation as the leading United States player in the fast-growing Mexican cellular market. Last year, Philadelphia-based Bell Atlantic agreed to pay $1 billion for a 40 percent stake in Grupo Iusacell. BellSouth established Communications Celulares de Occidente S.A. in 1990 after winning the cellular concession in Guadalajara, Mexico's second-largest city. It was BellSouth's only cellular business in Mexico. BellSouth stock closed down $1.875, at $56.625 yesterday, on the New York Stock Exchange.

SPINOFF OF RAYONIER FOREST PRODUCTS UNIT IS SET

The ITT Corporation said yesterday that its spinoff of its Rayonier Inc. forest products subsidiary to shareholders would occur on Feb. 24. Shareholders will receive one Rayonier common share for every four shares of ITT common stock and one Rayonier Inc. common share for every 3.1595 shares of ITT series N preferred stock held at the close of business on Feb. 24. ITT's shares closed down $2.25 yesterday, to $98.625, on the New York Stock Exchange. ITT announced in December 1993 that it would spin off its forest products subsidiary to ITT shareholders. Rayonier is a leading forest products company, engaged in the production and sale of timber and wood products and specialty pulps. It has markets in more than 60 countries.

WESTWOOD ONE COMPLETES PURCHASE OF UNISTAR RADIO

Westwood One Inc. said yesterday that it had completed the purchase of Unistar Radio Networks Inc. from the Infinity Broadcasting Corporation for $101.3 million, creating the second-largest radio network in the country. At the same time, Infinity is acquiring 25 percent of Westwood One, making it the largest shareholder in the company and is installing its management to run Westwood One. Mel Karmazin, Infinity's chairman and chief executive, will become chief executive at Westwood One, succeeding Norman Pattiz, who remains chairman.

Sale Is Set For Boston Newspaper

Rupert Murdoch said today that he would sell The Boston Herald to its publisher of the last 10 years, Patrick J. Purcell. The sale will clear the way for Mr. Murdoch to buy back the local Fox television station, WFXT, Channel 25. He was forced to sell the station in 1989 by the Federal Communications Commission, which prohibits companies from owning two media outlets in the same market.

Competing Suitors Emerge For Newspaper in Britain

A full-blown fight erupted today for control of The Independent, the innovative British newspaper that has fallen on hard times. The battle's first round went to Anthony F. J. O'Reilly, the chairman of the H. J. Heinz Company and the owner of Ireland's largest newspaper publishing company. Mr. O'Reilly, who has long sought a toehold in the British newspaper business, bought a stake of nearly 25 percent in Newspaper Publishing P.L.C., the parent company of The Independent and The Independent on Sunday, for $:18.4 million in cash, or $27.6 million. The price was equal to $:3.50 for a share of the closely held company.
